Terms of Service

These Terms of Service ("Terms") govern your access to and use of Scope, including all websites, applications, and services operated under the setscope.ai domain (collectively, the "Service"), operated by Poolside Ventures S.L., a company registered in Spain with company number B05370846 ("Scope," "we," "us," or "our").

By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, you may not use the Service.

1. Accounts

You must register for an account to use Scope. You agree to provide accurate, current, and complete information during registration and to keep your account credentials confidential. You are responsible for all activity that occurs under your account. If you suspect unauthorized access, notify us promptly at hello@setscope.ai.

2. Description of Service

Scope is an AI agent management platform. It provides organized chat, task tracking, recurring workflows, file storage, and an audit trail for directing AI agents and reviewing their work. Scope connects to an existing AI agent, either one you host yourself or one we provision for you.

3. License

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal or business purposes. You may not sublicense, sell, resell, or otherwise exploit the Service commercially without our written consent.

4. Hosted Infrastructure

Some plans include a dedicated, managed AI agent instance hosted on your behalf. We provision this infrastructure through third-party providers. Provisioning typically completes within a few minutes but may occasionally take longer. We do not guarantee specific uptime for hosted infrastructure beyond what is stated in the plan description at the time of purchase.

We reserve the right to migrate hosted infrastructure between providers, regions, or configurations with reasonable notice. Your data will be preserved across such migrations.

5. Acceptable Use

You agree not to use the Service to:

• Violate any applicable law or regulation
• Infringe the intellectual property rights of any third party
• Transmit harmful, fraudulent, or deceptive content
• Attempt to gain unauthorized access to any part of the Service or its infrastructure
• Use automated means to access the Service in a way that exceeds normal usage or degrades service for other users
• Use the Service to train or fine-tune AI models without our prior written consent

We reserve the right to suspend or terminate your account if we determine, in our sole discretion, that you have violated these provisions.

6. AI-Generated Content

The Service facilitates communication with AI agents powered by large language models. We do not control the output produced by those models. You are solely responsible for reviewing agent output before acting on it and for any decisions you make based on that output. We make no representations about the accuracy, completeness, or fitness for purpose of any AI-generated content.

7. Intellectual Property

Scope retains all intellectual property rights in the Service, including the Scope platform, branding, software, and documentation. These Terms do not transfer any ownership rights to you.

You retain ownership of content you upload or create within the Service, including tasks, messages, and files. By using the Service, you grant us a limited license to store, process, and transmit your content solely as necessary to provide the Service to you.

8. Billing and Payment

Paid plans are billed in advance on a monthly or annual cycle, as selected at the time of purchase. Fees are as stated on the pricing page at the time you subscribe. Payment processing is handled by a third-party payment processor; your payment details are not stored by us.

We may update pricing with at least 30 days' advance notice. Continued use of the Service after the effective date of a price change constitutes acceptance of the new pricing.

Plans that include a monthly AI credit allowance do not carry unused credits forward to subsequent billing periods.

You may also purchase additional AI credits. These AI credit purchases can only be used with your Scope account and expire 12 months from the date of purchase. AI credits are non-refundable once purchased.

9. Refunds

Refunds are not issued automatically. If you believe you are entitled to a refund, you must submit a request to hello@setscope.ai within 14 days of the start of the billing period in question. We will review requests on a case-by-case basis. Refunds are not available for partially used billing periods, and AI credits are non-refundable, unless required by applicable law.

10. Termination

You may cancel your account at any time from your account settings. Cancellation takes effect at the end of the current billing period; you retain access until then.

We may suspend or terminate your account at any time, with or without notice, if we reasonably believe you have violated these Terms, if required by law, or if we discontinue the Service. We will endeavor to provide advance notice where feasible.

Upon termination, you may request an export of your data within 30 days. After that period, we may delete your data in accordance with our data retention practices.

11. Disclaimers

The Service is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or free of viruses or other harmful components.

12. Limitation of Liability

To the maximum extent permitted by applicable law, Scope shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising out of or in connection with your use of or inability to use the Service, even if we have been advised of the possibility of such damages.

Our total aggregate liability to you for any claims arising under these Terms shall not exceed the total fees you paid to us in the 12 months preceding the claim.

13. Indemnification

You agree to indemnify, defend, and hold harmless Scope and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with your violation of these Terms or your use of the Service.

14. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated to you by email or via in-app notification. Your continued use of the Service after that date constitutes acceptance of the updated Terms.

15. Governing Law

These Terms are governed by the laws of Spain. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of Barcelona, unless mandatory consumer protection laws in your jurisdiction require otherwise.
